This Terms of Service Agreement ("Agreement", "Terms") is a legal agreement between you ("User", "you", "your") and XALIUM ("Company", "we", "us", "our"), the provider of the XALIUM webhook integration service (the "Service" or "Platform") that facilitates communication between your trading algorithms and the MetaTrader 5 (MT5) platforms.

By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions outlined in this Agreement. If you do not agree to these Terms, you are not permitted to and must not use the Service.

1. Acceptance of Terms

By creating an account, making a payment, or using the Service in any manner, you signify your acceptance of this Agreement. You represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all its terms and conditions.

2. Description of Service

Our Service provides Users with a unique Webhook URL and a dashboard interface. The Service acts as a relay to forward trading signals, generated by your own EA or trading algorithm, from our servers to your MT5 terminal. We are a data passthrough service only. We do not execute trades, provide trading signals, or offer financial advice.

3. Account Registration and Security

Accuracy of Information

You agree to provide accurate, current, and complete information during the registration process.

Browser Data Storage

By registering an account, you agree that we can save data in your local browser for the best user experience.

Account Security

You are solely responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

MT5/MT4 Credentials

You acknowledge that you will need to configure your EA with your MT5/MT4 account credentials (login, password, server). We do not store, process, or have access to your MT5/MT4 credentials on our servers. These credentials are handled exclusively by your EA on your local machine. You are solely responsible for the security of your MT5/MT4 terminal and the EA you use.

Protection of Platform Details

You are solely responsible for ensuring that your platform details, especially your webhook URLs and API keys, are not exposed publicly. Sharing these details may lead to unauthorized access to your account and trading activities. We are not responsible for any losses resulting from exposed platform details. Any intentional or negligent exposure of your platform details that leads to system abuse may result in immediate termination of your account without refund.

4. Data Handling and Privacy

Webhook Data

The data you send via webhook to our Service (e.g., symbol, action, volume) is transmitted to your MT5 terminal. We may temporarily log this data for the sole purpose of debugging, performance monitoring, and ensuring service delivery. These logs are not stored indefinitely.

Personal Information

We collect limited personal information (e.g., email address, name) for account management. Please review our separate Privacy Policy for detailed information on how we handle your data.

Data Security

We implement industry-standard security measures, including encryption and secure vault storage, to protect the information you provide us. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee its absolute security.

The Service is a technological tool. Nothing we provide constitutes financial advice, a recommendation, or an endorsement of any security, trade, or investment strategy.

Your Responsibility

All trading decisions are made by you or your automated trading system (EA). You are solely responsible for any investment decisions you make and for the profitability or losses of your trades.

No Liability for Losses

The Company, its affiliates, and its employees shall not be held liable for any financial loss, lost profits, indirect, special, incidental, or consequential damages resulting from the use of, or inability to use, the Service. This includes, but is not limited to, losses caused by:

Best Effort Basis

We strive to provide a reliable and continuous Service but we do not guarantee 100% uptime. The Service is provided on an "as is" and "as available" basis.

Force Majeure

We are not liable for any failure or delay in performance of our obligations under this Agreement arising out of or caused by, directly or indirectly, forces beyond our reasonable control, including without limitation: acts of God, natural disasters, war, terrorism, cyber-attacks, electrical or power outages, strikes, failures of the internet, cloud hosting provider failures, or any other cause beyond our reasonable control ("Force Majeure Event").

Latency

While we optimize for speed, we do not guarantee specific latency times. Network latency between your EA, our servers, your MT5 terminal, and your broker is inevitable and beyond our complete control. We are not liable for trading losses resulting from latency.

7. Fees, Payment, and Refund Policy

Subscription Fees

Access to the Service requires payment of a subscription fee ("Fee") as outlined on our website.

No Refunds

ALL FEES ARE NON-REFUNDABLE. You may cancel your subscription at any time; however, you will not receive a refund for any unused portion of your current subscription period. Upon cancellation, your access to the Service will continue until the end of your paid billing cycle.

Price Changes

We reserve the right to change our subscription Fees at any time. We will provide you with reasonable notice of any such pricing changes.

10. Dispute Resolution and Public Comments

Direct Dialogue

We are committed to providing a high-quality service. If you encounter an issue, you agree to first contact our support team directly via the provided chat or email to explain the issue and allow us a reasonable opportunity to resolve it.

No Public Defamation

You agree not to engage in any public defamation, slander, or libel against the Company, its services, or its employees on social media, forums, or review sites. Engaging in such behavior, especially before attempting to resolve the issue with us directly, may result in immediate termination of your account and could expose you to legal liability for damages.

11. Intellectual Property

The Service, its original content, features, functionality, and the Webhook technology are and will remain the exclusive property of XALIUM and its licensors. Our trademarks and trade dress may not be used without our prior written consent.

12. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XALIUM, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED THROUGH THE SERVICE.

You agree to defend, indemnify, and hold harmless XALIUM and its licensors and affiliates from and against any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
